Advertise is the main source of media income. We are offering three types of advertisement at this time. Selling short video ad spot, subjective advertisement and interview advertisement. Advertisement policy is mentioned here in detail.

This agreement(“agreement”) is entered into as of (“Effective Date”) between,

And

 “Advertiser”   

Whereas Publisher is digital broadcasting television, selling advertisement spot to advertiser

Whereas advertiser desire to purchase advertisement spot to promote advertiser’s business, service, products, fame  

Publisher and advertiser agree on the following terms and conditions. 

1. Term: The term of this agreement will run from execution date to agreed future date. 

2.Services: During the term, the publisher agrees to provide the following services.   

a) Publisher shall design special flyers for the advertiser. The flyer includes as indicated below:  

I) Company name ii) Company logo iii) Company address iv) Company phone

v) Company Email vi) Company website vii) Owner photo viii) Owner name

ix) Services  

b) Publisher shall Write a sweet script in Nepali language and send to advertiser for approval. Upon approval, Publisher shall create Advertisement video for advertiser using Nepali language voice and flyer designed in item 2 (a), Publisher shall send advertisement video to advertiser for approval and get final approval prior to advertising. The length of the advertisement video shall be 15 to 60 seconds. 

   c) Publisher shall place advertiser’s video in publisher’s broadcasting programs at least following number of times a month as indicated below. 

$100 per month for bronze Sponsorship and 10 advertisement spots be provided. $150 per month for Silver Sponsorship and 15 advertisement spots shall be provided. $200 per month for golden Sponsorship and 20 advertisement spots be provided. $250 per month for diamond Sponsorship and 25 advertisement spots shall be provided.

d)Publisher’s programs shall be broadcasted through Facebook page and Tik-Tok channel-Dzitalzon Media. Publisher shall give credibility to advertiser with level of Sponsorship as indicated above.

C)During the term, publisher place advertiser’s same flyer from item 2(A), in publisher’s website under “sponsor” tab acknowledging level of sponsorship as indicated in item 2(C)

3.Compensation: Subject to publisher’s full and complete performance of services in this Agreement, advertiser agrees to pay publisher as indicated in item 2(C). The publisher shall send an invoice to the advertiser in advance and the advertiser shall pay as instructed in the invoice.

4.Advertisement video is the original creation of publisher’s intellectual efforts. Publisher input artistic design and original voice on advertisement video and hold copyright. The Advertiser is not permitted to copy advertisement videos without publisher’s prior permission.  

5.Grants of rights: Advertiser grants publisher royalty free, perpetual, irrevocable, fully transferable rights and license to use the Content to publicly display, distribute and broadcast the Content, in any and all media, channel, platform, or format now known or hereafter developed, in whole or in part and to use Company’s name, flyer, logo, email ,website, social channel, phone number, address and owner or representative ‘s voice, portrait, photograph, or likeness or biography in any form, manner, or media, including distribution, advertising, marketing, publication, newsletters, social media, or any other lawful purpose.

6.Supply of Materials: Advertiser agrees to provide publisher with logos, flyers, business cards, service or product list, photo, and all other material necessary to perform services in this agreement.  

7.Per current Publisher Policies, Publisher reserves the right to reject any Advertisement if it (I) does not comply with any Publisher Policy, (II) is offensive, obscene, or profane, (III) is defamatory, libelous, slanderous, or otherwise unlawful, (IV) is false or misleading; (V) claims endorsement in any way by Publisher of any products or services; (VI) may result in Publisher violating any law or subject Publisher to legal scrutiny; or (VII) in Publisher’s reasonable opinion, is detrimental to the reputation of the Publisher, its affiliates, or their respective.

7.Representations, Warranties, and Covenants. 

Advertiser represents, warrants, and covenants to Publisher that: at the time of the Advertisement’s publication and dissemination, any statement, claim, or representation made in any Advertisement meet the following criteria: 

(I) will be supportable by competent and reliable prior substantiation in accordance with all applicable laws, including the laws of the Federal Trade Commission,

II. shall comply with all other applicable laws regarding deceptive trade practices, fair competition, and consumer protection, 

(iii) will not cause Publisher to violate any law or regulation

8.Truth In Advertisement

Advertiser is solely responsible for any legal liability arising out of or relating to the Advertisement, and/or such violations as infringement or misappropriation of any copyright, patent, trademark, trade secret, unfair competition, defamation, invasion of privacy or rights of celebrity, violation of any anti-discrimination law or regulation, or any other right of any person or entity. Advertiser agrees to indemnify publisher and to hold publisher harmless from all liability, loss, damages, claims, or causes of action, including reasonable legal fees and expenses that may be incurred by publisher arising out of or related to Advertiser's breach of any of the foregoing representations and warranties.

9.Termination: Either advertiser or publisher may terminate this Agreement, by giving the other party one month written notice. On termination, the advertiser shall pay any outstanding Compensation for Services previously performed and neither advertiser nor publisher shall have any further obligation to each other. Upon termination, publisher shall refund any prepaid fee, for which services not performed. 

10)Inclusivity: The publisher is an open advertisement platform for all qualified advertisers and promotes any other same advertisers’ product or service during the term of this agreement. No two advertisers' video shall be placed in single episode. Each episode has only one advertisement spot. 

11.This Agreement will be governed by and interpreted in accordance with the laws of the State of Ohio USA without regard to conflict of laws principles and we agree to resolve any claim regarding this Agreement in the State of Ohio USA. Any notices will be sent to each other via email to the address above and will be effective on receipt.
